1. Agreement to Terms

By accessing or using WatchlistAI ("Service"), including our website, browser extension, and any associated services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

WatchlistAI is operated by WatchlistAI ("we," "us," or "our"). These Terms constitute a legally binding agreement between you and WatchlistAI governing your use of the Service.

2. Definitions

  • "Service" refers to the WatchlistAI browser extension, website, API, and all related services.
  • "User" refers to any individual or entity that accesses or uses the Service.
  • "Credits" refers to the units used to measure and limit usage of the Service. One credit equals one lead extracted.
  • "Lead Data" refers to publicly available information collected from LinkedIn post comments, including names, titles, profile URLs, and comment text.
  • "Subscription" refers to paid plans that provide recurring monthly credits.

3. Service Description

WatchlistAI is a productivity tool that helps users collect publicly available information from LinkedIn post comments. The Service includes:

  • A browser extension that extracts commenter information from LinkedIn posts
  • CSV export functionality for lead data
  • A web dashboard for account management
  • A credit-based usage system

The Service is provided "as is" and we do not guarantee uninterrupted access or specific results. LinkedIn may change their platform at any time, which could affect Service functionality.

4. Account Registration

To use certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

5. User Obligations and Responsibilities

You are solely responsible for your use of the Service and any data you collect. By using the Service, you represent and warrant that:

  • You will comply with all applicable laws and regulations, including data protection laws (GDPR, CCPA, etc.)
  • You will comply with LinkedIn's Terms of Service and User Agreement
  • You will use collected data only for legitimate business purposes
  • You will obtain any necessary consents before contacting individuals
  • You will not use the Service for spam, harassment, or any unlawful purpose
  • You accept full responsibility for any outreach conducted using data collected through the Service

Important: WatchlistAI is a tool that helps you organize publicly available information. We do not provide legal advice regarding your use of this data. You should consult with legal counsel to ensure your activities comply with applicable laws and platform terms.

6. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe on intellectual property rights of others
  • Send unsolicited bulk communications (spam)
  • Harass, threaten, or harm any individual
  • Collect data for discriminatory purposes
  • Resell or redistribute the Service without authorization
  • Attempt to reverse engineer, decompile, or hack the Service
  • Interfere with or disrupt the Service or servers
  • Use automated means to access the Service beyond intended functionality
  • Create multiple accounts to circumvent usage limits

7. Credits, Payments, and Subscriptions

Free Credits

New users receive 1,000 free credits upon registration. Free credits never expire and can be used at any time.

Paid Subscriptions

Paid subscriptions provide a monthly allocation of credits. Subscription credits expire at the end of each billing period and do not roll over. Subscriptions automatically renew unless cancelled.

Payment Processing

Payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. All prices are in USD unless otherwise stated.

Cancellation and Refunds

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months or unused credits, except as required by law.

8. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by WatchlistAI and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose, subject to these Terms.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • The results obtained will be accurate or reliable
  • The Service will meet your specific requirements
  • The Service will remain compatible with third-party platforms

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATCHLISTAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

We are not liable for any actions you take based on data collected through the Service, including any legal consequences arising from your outreach activities.

11. Indemnification

You agree to indemnify, defend, and hold harmless WatchlistAI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of third-party rights or platform terms
  • Any outreach or communications you conduct using collected data

12. Third-Party Services

The Service integrates with and relies on third-party services, including LinkedIn and Stripe. We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of third-party services is subject to their respective terms and policies.

13. Modifications to Service and Terms

We reserve the right to modify, suspend, or discontinue the Service at any time without notice. We may also modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

We will make reasonable efforts to notify you of significant changes to these Terms via email or through the Service.

14. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • Any unused credits will be forfeited
  • We may delete your account and associated data

You may terminate your account at any time by contacting us. Termination does not relieve you of obligations incurred prior to termination.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits.

16. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and WatchlistAI regarding the Service.
  • Severability: If any provision is found invalid, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights at any time.
